Bylaws of the
Walker Upper Elementary School
Parent Teacher Organization
I. NAME.
The name of the Organization shall be
the Walker Upper Elementary School Parent Teacher
Organization.
II. PURPOSE.
The purpose of the Organization shall
be to aid the students of Walker School by providing
support for their educational and developmental
needs, assisting the school community in fulfilling
its mission statement and promoting communication
between the administration, teachers and parents.
III. MEMBERSHIP.
All administration, teachers, parents and/or legal
guardians of current students shall be considered
Members of the Organization.
IV. MEETINGS.
General meetings. All members of the Organization
are invited to General Meetings, which may be
informational or social in nature. The meetings
shall be held at least twice during the school
year. The time and place of the meetings shall
be announced at least one week prior to the meeting.
Board Meetings. Board Meetings shall be held at
least 4 times a year and as often as deemed necessary
to complete the planning and business of the PTO.
These are open to the general PTO membership; however,
only active Board members may vote on issues concerning
the Organization.
Quorum. Those persons present at a properly called
General Membership or Board Meeting shall be designated
as a quorum and shall be entitled to take action
on behalf of the Organization.
Voting. A majority vote of the Voting Members present
at any meeting shall be required for all action
to be taken by the Organization.
V. BOARD OF DIRECTORS.
Board Membership. The Board of Directors of the
Organization shall consist of a President, Vice-President,
Secretary, and Treasurer, and any other specified
or at large positions deemed necessary by the
President. Two persons may be nominated and elected
to fill any single position. In this instance,
both of the persons shall be given all of the
rights and responsibilities of the office as
enumerated herein. The term of office for the
Board members shall be one year.
Board Elections. All Board members will be elected
by majority vote of the general membership of the
Organization. Parents of rising fifth grade students
will be invited to offer nominations during the
spring orientation activities. Elections will follow
these events and will be held in May of each school
year. A majority of the votes cast by the Members
shall be necessary for election. Should no person
receive a majority of the votes cast, a run-off
between the two persons who received the largest
number of votes shall immediately be held.
Vacancies. If the President is unable to continue
in office, the Vice-President shall fill the office.
Any other vacancies in offices may be filled by
the vote of the Board at their discretion.
General Powers. The Board shall manage the affairs,
activities and operation of the Organization. The
Board shall transact the necessary business of
the Organization, initiate projects and activities,
approve budgets and authorize major disbursements.
President. The President shall be the principal
executive officer of the Organization and shall
in general supervise the activities of the organization,
subject to the control of the Board and direction
of the membership. The President may authorize
minor disbursements of funds for necessary expenditures.
The President shall be a member of the Board and,
when present, shall preside at meetings of the
Board and meetings of the membership. The President
shall vote only in the case of a tie in a vote
of the Board or the membership.
Vice-President. The Vice-President shall be a member
of the Board and in the absence of the President
shall perform the duties of the President. The
Vice-President shall perform such other duties
as are assigned by the President or Board.
Secretary. The Secretary shall be a member of the
Board and shall keep the minutes of the proceedings
of General and Board meetings.
Treasurer. The Treasurer shall be a member of the
Board and shall have charge of and be responsible
for all funds of the Organization and shall receive
monies and make disbursements as authorized by
the Board or the President. The Treasurer shall
present a financial report at each Board meeting
and at other times as requested by the President.
VI. FISCAL MANAGEMENT.
The Treasurer and the President
of the Organization shall be jointly responsible
for fiscal management of the organization. On an
annual basis, a committee of three Board members,
not including the Treasurer or President, shall
undertake an internal audit of the Organization's
finances.
VII. AMENDMENTS.
These Bylaws may be altered, amended
or repealed and the Members at any General Membership
Meeting may adopt new Bylaws.
VIII. AUTHORITY.
If any part of the Bylaws shall
conflict with the decisions, policies or procedures
adopted by the Charlottesville City School Board,
they shall be deemed null and void and the decision
of the Charlottesville City School Board shall,
in all cases, control.
